Ett skuldebrev är ett dokument som bevisar att någon är skyldig dig pengar – men vad händer om skulden inte betalas, eller om dokumentet överlåts till någon annan? Många hamnar i problem för att de inte känner till sina rättigheter enligt skuldebrevslagen. Vad är ett skuldebrev och varför är det viktigt?
Vilka typer av skuldebrev finns?
Skuldebrevslagen skiljer mellan löpande skuldebrev och enkla skuldebrev. Här är skillnaderna:
- Enkla skuldebrev: Namnger en specifik borgenär som har rätt att få betalt (26 § SkbrL). Om skulden överlåts till någon annan kan gäldenären använda samma invändningar mot den nya borgenären som mot den ursprungliga.
- Exempel: Per lovar att betala 50 000 kr till Ann senast 1 november 2025. Om Ann överlåter skulden till Bengt, kan Per vägra betala om han inte fått det han skulle för pengarna.
- Löpande skuldebrev: Ger rätt till betalning till den som har dokumentet (innehavarskuldebrev) eller den som kan visa en kedja av överlåtelser (orderskuldebrev) (11 § SkbrL). Dessa är ”omsättningsbara” (negotiable), vilket betyder att en ny innehavare i god tro är skyddad mot många invändningar från gäldenären.
Exempel: Michelle skriver ett skuldebrev där hon lovar att betala 50 000 kr till innehavaren. Om skuldebrevet hamnar hos Bengt, måste Michelle betala honom, även om hon inte fått det hon förväntade sig från den ursprungliga affären.

Vad händer när ett skuldebrev överlåts?
Det är vanligt att en borgenär överlåter sin fordran till någon annan, till exempel för att få pengar snabbare. Men vad betyder det för gäldenären?
- Löpande skuldebrev: En ny innehavare i god tro är starkt skyddad. Gäldenären kan bara göra vissa ”starka” invändningar, som att skuldebrevet är förfalskat, utfärdat utan fullmakt, eller preskriberat (17 § SkbrL). Mindre invändningar, som att den ursprungliga borgenären inte levererade vad som utlovats, kan inte användas mot den nya innehavaren.
- Exempel: Gertrud skriver ett löpande skuldebrev till Bojan för en båt, men får aldrig båten. Bojan överlåter skuldebrevet till Bengt, som är i god tro. Gertrud måste betala Bengt, men kan kräva ersättning från Bojan.
- Enkla skuldebrev: Gäldenären kan använda samma invändningar mot den nya borgenären som mot den ursprungliga (27 § SkbrL). Detta gör enkla skuldebrev mindre attraktiva att överlåta.Exempel: Gertrud köper en båt av Bojan och skriver ett enkelt skuldebrev. Bojan överlåter skulden till Bengt, men Gertrud får aldrig båten. Gertrud slipper betala Bengt, eftersom hon kan invända att affären inte fullföljdes.
För att en överlåtelse av ett enkelt skuldebrev ska vara säker, måste den nya borgenären meddela gäldenären (s.k. denuntiation, 31 § SkbrL). Vad händer om skulden inte betalas?
Om gäldenären inte betalar i tid, kan borgenären vidta flera åtgärder:
- Kräva dröjsmålsränta: Enligt räntelagen måste gäldenären betala ränta för den tid han eller hon är sen med betalningen.
- Ansöka om betalningsföreläggande: Borgenären kan vända sig till Kronofogdemyndigheten för att få en exekutionstitel, som tvingar gäldenären att betala (lagen om betalningsföreläggande).
- Begära utmätning: Kronofogden kan ta gäldenärens tillgångar (t.ex. pengar eller egendom) för att täcka skulden. Vissa tillgångar, som kläder och pengar för existensminimum, är skyddade (5:1 UB).
- Ansöka om konkurs: Om gäldenären är på obestånd, kan borgenären begära konkurs. Då säljs gäldenärens tillgångar, och borgenärerna delar på pengarna enligt förmånsrättsordningen.
Exempel: Bojan lånar ut 100 000 kr till Gertrud, som inte betalar tillbaka. Bojan får en exekutionstitel och Kronofogden utmäter Gertruds bil för att täcka skulden.
Vad är preskription och hur fungerar det?
En fordran preskriberas om borgenären väntar för länge med att kräva betalning. Huvudregeln är att en fordran preskriberas efter tio år från att den uppstod (2 § PreskrL). För konsumentfordringar är tiden kortare, bara tre år.
Exempel: Emma lånar ut 500 000 kr till Maria 2010, att betalas 2026. Om Maria inte påminns om skulden, preskriberas den 2020, och Emma kan inte kräva pengarna.
Preskriptionen kan avbrytas om:
- Gäldenären erkänner skulden eller betalar ränta/amortering.
- Borgenären skickar ett skriftligt krav.
- Borgenären väcker talan vid domstol eller i konkurs.
Solidariskt ansvar och flera gäldenärer
Om flera personer är skyldiga samma skuld (t.ex. om två personer köper en båt tillsammans), är ansvaret oftast solidariskt. Det betyder att borgenären kan kräva hela summan från en av gäldenärerna (2 § SkbrL).
Exempel: Göran och Gertrud köper en båt för 50 000 kr. Borgenären kan kräva hela summan från Gertrud. Om Gertrud betalar, kan hon kräva hälften (25 000 kr) från Göran via regressrätt.
Parterna kan avtala om delat ansvar, till exempel att var och en betalar hälften. Detta måste stå i avtalet med borgenären.
Tips för trygga skuldebrev
För att undvika problem, här är några enkla tips:
- Skriv tydliga skuldebrev: Ange belopp, ränta, förfallodag och vem som är borgenär.
- Använd enkla skuldebrev för konsumenter: Löpande skuldebrev är förbjudna i konsumentförhållanden.
- Meddela överlåtelser: Vid enkla skuldebrev, se till att gäldenären får en denuntiation.
- Ta tillbaka skuldebrevet vid betalning: För löpande skuldebrev, anteckna att skulden är betald för att undvika dubbelbetalning.
- Kontakta en jurist: Ett kort samtal kan spara dig mycket besvär.
